Instinct Bio Technical Company Holdings Inc. (Nasdaq: BIOT) announced today that its subsidiaries, Instinct Brothers Co., Ltd. and Artisans Production Co., Ltd., have signed a Memorandum of Agreement with Invitrx Therapeutics, Inc. to advance two workstreams: manufacturing and selling GENREVER cosmetic products in the United States and supplying concentrated exosomes and conditioned media for clinics and a cell processing center in Indonesia. This collaboration builds on a six-year commercial relationship between the companies, during which Instinct Bio sourced raw materials from INVITRX for its products.
The proposed partnership aims to position GENREVER as a premium Japanese cosmetics brand in the U.S. market. Under the agreement, Instinct Bio intends to license the GENREVER trademark, Artisans Production will contribute its proprietary formulations and raw materials, and INVITRX is expected to manufacture the products at its U.S. GMP manufacturing facility, subject to regulatory requirements. This move represents a significant step in Instinct Bio’s international expansion strategy, bringing Japanese product innovation to American consumers.
In parallel, the collaboration targets Indonesia’s emerging regenerative medicine ecosystem. Subject to regulatory approvals, INVITRX is expected to supply concentrated exosomes and conditioned media to support proposed clinics and an in-hospital cell processing center and laboratory in Indonesia. The parties will evaluate opportunities to establish a localized regenerative medicine platform in one of Asia’s fastest-growing healthcare markets. This initiative aligns with Indonesia’s increasing demand for advanced medical technologies and could position the country as a regional hub for regenerative medicine.
Tomoki Nagano, Chief Executive Officer of Instinct Bio, stated: “This collaboration represents an important step in our strategy to expand Instinct Bio’s international platform. By bringing together the GENREVER brand, Artisans Production’s proprietary formulations and INVITRX’s U.S. GMP manufacturing capabilities, we believe we are creating a strong foundation for future growth in both the United States and Southeast Asia.”
The agreement sets out a framework for negotiating definitive commercial agreements covering manufacturing, supply, and commercialization, while progressing regulatory assessments for each initiative. However, the company cautioned that there is no assurance definitive agreements will be reached or that the proposed initiatives will be completed.
This collaboration underscores the growing trend of cross-border partnerships in biotechnology and cosmetics, combining Japanese product development with U.S. manufacturing and distribution expertise. For Instinct Bio, which focuses on regenerative medicine and longevity technologies, the partnership could diversify its revenue streams and strengthen its presence in key markets. For INVITRX, a U.S.-based GMP manufacturer of cell-derived biological materials, the deal expands its role in commercializing cosmetic and therapeutic products.
Investors and industry observers will watch for progress on regulatory approvals and the finalization of definitive agreements, which are critical to realizing the collaboration’s potential. The company’s forward-looking statements highlight risks including regulatory hurdles, market acceptance, and manufacturing challenges, but the strategic alignment between the partners provides a solid foundation for advancing these initiatives.
