Energy Fuels Advances ASM Acquisition After Overwhelming Securityholder Approval

Energy Fuels Inc. (NYSE American: UUUU) (TSX: EFR) has cleared a major hurdle in its planned acquisition of Australian Strategic Materials Limited (ASX: ASM), following overwhelming approval from ASM securityholders at scheme meetings held on August 12 in Perth, Australia. The Share Scheme received approval from 98.23% of votes cast and 83.62% of ASM shareholders present and voting, while the Option Scheme received 99.97% of votes cast and support from 87.78% of participating optionholders.

The acquisition is a cornerstone of Energy Fuels’ strategy to build an integrated Western mine-to-magnet rare earth supply chain. By adding ASM’s Korean Metals Plant, the planned American Metals Plant, and the Dubbo Project in New South Wales to its existing rare earth oxide production at the White Mesa Mill in Utah and the Donald Project in Victoria (developed with Astron Limited), Energy Fuels aims to secure a diversified, reliable source of critical minerals outside of China’s dominant supply chain.

ASM is scheduled to seek final approval from the Federal Court of Australia on August 18, with the schemes expected to become effective on August 19 and implementation targeted for August 28. Once completed, the acquisition will significantly expand Energy Fuels’ footprint in the rare earth sector, positioning the company as a leading Western supplier of rare earth elements.

In a separate but complementary move, Energy Fuels has agreed to acquire permanent magnet manufacturer Vacuumschmelze (VAC). This acquisition, expected to close in early 2027 pending regulatory approvals, would extend Energy Fuels’ platform into magnet production, further solidifying its position in the rare earth value chain. The VAC acquisition is not a condition of the ASM transaction, but together they represent a comprehensive approach to securing the supply chain from mining to finished magnets.

The importance of these moves cannot be overstated. Rare earth elements are essential components in modern technologies, including electric vehicles, wind turbines, defense systems, and electronics. Currently, China dominates the global rare earth market, controlling a significant portion of mining, processing, and magnet production. By developing Western sources, Energy Fuels aims to reduce this dependency and strengthen supply chain resilience for the United States and its allies.

Energy Fuels is already a leading U.S. producer of uranium and rare earth elements. The company operates the only fully licensed conventional uranium mill in the U.S., the White Mesa Mill in Utah, where it also produces REE products and evaluates medical isotope recovery for emerging cancer therapies. Additionally, Energy Fuels is developing three heavy mineral sands and rare earth projects: the Vara Mada Project in Madagascar, the Bahia Project in Brazil, and the Donald Project in Australia.
