In a strategic move to address the looming threat of quantum computing to modern encryption, Redwood AI Corp. (CSE: AIRX) (OTCQB: RDWCF) (Frankfurt: Y0N) (WKN: A422EZ) has completed its acquisition of Quantum.IQ Technologies Inc., a Vancouver-based quantum cybersecurity company. The deal, which was announced via a press release, positions Redwood to offer advanced solutions for organizations preparing for a post-quantum world.
Quantum.IQ, now a wholly owned subsidiary of Redwood, specializes in software that helps organizations assess and prepare their encryption systems for future quantum-enabled cyber threats. Its Post-Quantum Cryptography (PQC) platform is designed for high-security sectors including government, defense, financial services, and critical infrastructure. The platform provides cryptographic asset discovery, Cryptographic Bill of Materials (CBOM) creation, standards alignment, vulnerability management, migration planning, continuous monitoring, and executive-level reporting.
The acquisition is significant as quantum computers, once fully realized, could break widely used encryption algorithms, compromising data security across the globe. By integrating Quantum.IQ’s capabilities, Redwood aims to provide a comprehensive solution for organizations to transition to quantum-resistant cryptography.
Under the terms of the acquisition, Redwood issued up to 14,033,558 common shares at a deemed price of $2.98 per share. Of these, 7,033,558 shares are subject to staged escrow over 24 months, and up to 7 million additional shares are held in milestone escrow tied to specific customer and revenue criteria. Additionally, Redwood issued 50,000 shares as an administrative fee and 100,000 shares as a finder’s fee.
Redwood AI Corp. leverages advanced artificial intelligence to accelerate chemistry R&D, focusing on drug discovery, development, and defense and safety solutions. The company combines expertise in chemistry, AI, and manufacturing to streamline drug synthesis and scale-up. This acquisition diversifies Redwood’s technology base, adding a cybersecurity dimension that complements its existing AI-driven initiatives.
Quantum.IQ’s technology is particularly timely, as governments and industries worldwide are increasingly focusing on quantum readiness. The U.S. National Institute of Standards and Technology (NIST) has been working on post-quantum cryptography standards, and organizations are being urged to assess their cryptographic infrastructures. Quantum.IQ’s platform aims to simplify this complex process, offering a clear path to quantum-safe operations.
This acquisition marks a notable step for Redwood in positioning itself at the intersection of AI and quantum cybersecurity. It also reflects a broader trend where companies are proactively preparing for the quantum era, recognizing that the transition to post-quantum cryptography is not a matter of if, but when.
