Greenland Mines Prices $20 Million Public Offering to Fund Rare Earth Project Acquisition

Greenland Mines Ltd (NASDAQ: GRML) has announced the pricing of its previously announced public offering, which is expected to generate approximately $20 million in aggregate gross proceeds before placement agent fees and other offering expenses. The offering covers 4 million shares of common stock, or common stock equivalents, to new and existing mining-focused institutional investors and is expected to close on or about Aug. 27, 2026, subject to customary closing conditions.

The company intends to use the net proceeds to fund the acquisition of the Sarfartoq Nd-Pr Rare Earth Element Project, working capital, and other general corporate purposes. A.G.P./Alliance Global Partners acted as sole placement agent.

This capital raise is a strategic move for Greenland Mines as it seeks to expand its footprint in the rare earth sector. The Sarfartoq project, located in southwest Greenland, is a neodymium-praseodymium (Nd-Pr) rare earths project, which is critical for the production of permanent magnets used in electric vehicles, wind turbines, and other high-tech applications. The acquisition aligns with the company’s strategy of building a multi-asset platform with exposure to rare earth magnet materials, precious metals, and selected midstream processing opportunities.

Greenland Mines operates with two divisions: Mining and Biotech. The Mining division focuses on the exploration and development of the Skaergaard Project in southeast Greenland and, subject to closing of the transaction, the Sarfartoq project. The Biotech division includes Klotho’s KLTO-202, which has a primary indication for ALS. The company’s broader vision is to advance its North Atlantic Critical Metals Corridor, linking Greenland resources with allied downstream jurisdictions and industrial infrastructure.

The offering has been priced at a time when demand for rare earth elements is surging, driven by the global transition to clean energy and the increasing adoption of electric vehicles. By securing funding for the Sarfartoq project, Greenland Mines is positioning itself to capitalize on this growing market.
