US Nuclear Reports 72% Reduction in Operating Loss, Eyes 2027 as Record Year

US Nuclear Corp (OTC: UCLE) has filed its Form 10-Q for the first quarter of 2026, reporting a 72% reduction in loss from operations compared to the same period last year, according to a company press release. The filing, which was delayed along with other quarterly reports, comes as the company works to catch up on its financial reporting obligations and resume trading of its stock.

The company reported that it reduced its loss from operations by more than $375,000, or 72%, compared to the first quarter of 2025. The first-quarter financial close and review process took about four months, exceeding the standard 45-day window. The company expects to file its second-quarter report within the next three to four weeks and projects that its stock will resume trading after the release of the third-quarter filing, expected on or about the first week of December.

Michael Hastings, CFO of US Nuclear, explained that the delays stemmed from the closure of the company’s Los Angeles operation, which made retrieving certain financial data more difficult, and from personnel changes at its Overhoff subsidiary. “We have been working very hard to correct the issues which delayed the release of the 2025 10K until June, impacting the timely release of the second and third-quarter filings,” Hastings said. “The new auditor made some recommendations, which is taking some time to implement, but we are committed to making the reporting process faster and more efficient.”

To address these issues, the company has engaged a new General Manager/COO in June, who is streamlining logistics, clearing backlogs, and accelerating product and service delivery. The company’s backlog has grown to $1.2 million and is expected to reach $2.9 million by year-end. Additionally, US Nuclear is interviewing outsourced CPA firms to ensure timely and accurate financial reporting, with onboarding expected to occur imminently.

Looking ahead, the company is working to re-launch its TA/Optron product line, which was previously built in Los Angeles. Four college interns are conducting a full marketing and product analysis, with the goal of re-launching the products in January 2027 and adding $600,000 in revenues that year. The company also started discussions this summer regarding potential joint ventures, a sale to a larger company, or a reverse merger with a synergistic company interested in going public.

“We expect 2027 sales and profits to increase 20-30%, and sales to double the current level in 2028, or significantly higher if we complete a transaction in 2027,” the company stated. The full details of the first-quarter results are available in the US Nuclear Form 10Q_March 31, 2026. The company’s annual report, which provides a complete list of risks, can be found in the US Nuclear Form 10K_December 31, 2025.

This news matters because it signals that US Nuclear is making progress in resolving its reporting delays and improving its financial performance, which could restore investor confidence and allow its stock to resume trading. The company’s ability to execute on its backlog, re-launch products, and explore strategic alternatives will be key to achieving its ambitious growth targets.
