Shelfie-Tech Ltd. (CSE: SHLF) (OTCQB: SHLFF) has amended the terms of its previously disclosed acquisition of a 70% interest in Aspect Information Systems Ltd., with closing now expected on or about Nov. 4, 2026. The revised agreement restructures both the consideration payable to Aspect’s sole shareholder and the company’s funding commitment to the target, according to a press release disseminated on behalf of Shelfie-Tech Ltd..
Under the amended terms, Shelfie will pay total consideration of approximately $1.58 million to Aspect’s sole shareholder, consisting of approximately $1.23 million in cash and $350,000 through the issuance of 269,231 common shares. Those shares will be subject to a statutory hold period of four months and one day. The transaction qualifies as a significant acquisition under Canadian securities regulations, a designation that carries additional disclosure obligations for the company.
The most consequential change is the replacement of a previously negotiated $850,000 equity investment commitment with a $595,000 convertible loan to Aspect. Shelfie expects to advance $170,000 at closing and the remaining $425,000 by Jan. 31, 2027. The loan matures on the earlier of Jan. 1, 2031, or the date Aspect’s current shareholder ceases to hold shares, with provisions for repayment, conversion into equity or extension. That structure gives Shelfie a debt-like claim that can convert into ownership, rather than an immediate equity outlay, potentially altering both its cash position and its eventual stake in Aspect depending on how the loan is resolved.
Shelfie also agreed to cover $60,000 in transaction-related legal fees and to pay a finder’s fee subject to specified limits. The company expects the revised structure to reduce its near-term funding requirement compared with the original equity commitment, while preserving exposure to Aspect through the convertible instrument.
The amendment matters because it changes the economics of a deal that is material to Shelfie under Canadian securities rules. For investors, the shift from equity investment to convertible debt affects how much cash Shelfie must deploy upfront and how its ownership of Aspect could evolve. The staged loan advances, with $170,000 due at closing and $425,000 by the end of January 2027, also spread the company’s funding obligations over time.
Shelfie-Tech is a technology company focused on shelf inventory management solutions for the retail industry, particularly large grocery stores and supermarkets. Its patent-pending system includes a robotic retail shelf monitoring platform that uses proprietary software with machine learning and image processing algorithms to automate shelf inventory management. The Aspect transaction extends the company’s reach into information systems supporting that retail technology niche.
