Enapter AG Launches Capital Increase with Strategic Backstop to Fund Asset-Light Shift

Enapter AG has launched a cash capital increase with subscription rights for shareholders, offering up to 13,017,479 new shares at a subscription price of EUR 1.00 each to raise gross proceeds of up to EUR 13,017,479.00. The subscription period runs from 4 November to 18 November 2026, with a subscription ratio of 2:1, meaning two existing shares entitle the holder to subscribe for one new share. Shareholders may over-subscribe for additional shares, though exchange trading of the subscription rights is not planned. The new shares will be included in trading on the regulated market of the Frankfurt Stock Exchange (General Standard) following their admission.

To support the offering, Enapter has entered a backstop agreement with RS Energy Technology Limited, Hong Kong, part of the Runshihua Group. This strategic investor has committed to subscribe, at the subscription price, for any new shares not placed in the subscription offer, including the over-subscription offer, up to EUR 12 million, but not exceeding a 25% minus one share stake in the post-increase share capital. The net proceeds will be used substantially to repay existing liabilities and otherwise to finance working capital.

The capital measure is central to Enapter’s strategic realignment toward an asset-light business model with partner-based production in China. CEO Dr Jürgen Laakmann said the capital increase is “a decisive building block in completing our strategic realignment towards an asset-light business model with partner-based production in China.” He added that the Runshihua Group’s financial commitment and hydrogen expertise make the transformation possible.

Enapter, a global greentech company that develops and supplies AEM electrolysers for green hydrogen production, has thousands of its electrolysers in use at more than 360 customers across over 55 countries. Its patented anion exchange membrane technology avoids reliance on expensive and rare raw materials such as iridium and, thanks to its modular design, enables efficient and scalable green hydrogen production, including where solar and wind power supply fluctuates. The company’s shares trade under the ticker H2O (ISIN: DE000A255G02).
